IControl software is used as a platform for security/ home automation offerings by both traditional security companies, such as ADT, and cable/telecom companies, such as Time Warner and Comcast. In April, Telguard, a division of Telular Corp., introduced its Telguard HomeControl interactive solution based on iControl Networks' software platform. Competitor Alarm.com's software, on the other hand, is used by 2GIG Technologies. The iControl lawsuit was filed six weeks after Alarm. com filed a lawsuit against Telular Corp., contending that Telular has been using Alarm.com's patent-protected products and services without IR offers $1.55b in senior notes permission as its own I n i t s f i l i n g , i C o n t ro l charges that Alarm.com and FrontPoint have infringed on up to six iControl patents. The lawsuit names FrontPoint founders Chris Villar and Aaron Schumaker and security consultant Peter Rogers in the suit, saying that iControl and FrontPoint "entered into a mutual nondisclosure agreement with iControl and was then introduced to iControl's proprietary technology … including iControl's product roadmap." "Defendants have infringed and continue to infringe [by making and selling products and services] for monitoring and controlling security systems. These infringing products and services include at least the technology identified on defendants' websites related to interactive security systems," according to the filing. Proceeds from the sale will fund expenses related to the company's spinoff of its security businesses and to redeem the company's current debt. IR, based here, announced June 17 that the spinoff will be called Allegion. [See story page 1]. According to Ingersoll Rand's news release on its debt offering, the three tranches are: $350 million aggregate principal amount of 2.87 percent notes due in 2019; $700 million aggregate principal amount of 4.25 percent notes due in 2023; and $500 million aggregate principal amount of 5.75 percent notes due in 2043. The company said it intends to use the net proceeds from the offering of the notes to fund the redemption of IR Global's existing $600 million aggregate principal amount of 6 percent senior notes due in 2013 and $655 million aggregate principal amount of 9.5 percent senior notes due in 2014, and to pay expenses for Allegion. The redemption premium expense for the early retirement of these notes will approximate $46 million and will negatively impact third-quarter and full-year earnings per share by approximately $0.15 per share, according to the news release. Additionally, the lower interest costs for the new debt and the early refinancing of the 2013 and 2014 notes will reduce the future annualized total interest expense by approximately $30 million, the release said. SSn Brivo Systems, a provider of cloud applications for security management, in July completed the move into its new 14,200 squarefoot headquarters in Bethesda. The new space features an open seating plan designed to increase communication and further foster a culture of innovation and customer service.
